The agreement

These Terms of Service ("Terms") are the agreement between you and Incarnate Labs ("Incarnate," "we," "us") that governs your use of the Incarnate product — the web application at alpha.incarnatelabs.com, the marketing site at incarnatelabs.com, and the Incarnate Chrome extension. By creating an account, signing in, or installing the extension, you accept these Terms. If you don't agree, please don't use the service.

These Terms work alongside our Privacy Policy and Data Controls page. Read those too — they describe how we handle your data and what you can do with it.

What Incarnate is

Incarnate is a voice-based rehearsal product. You describe a person and a situation; we generate an AI character that talks back to you in real time so you can practice the conversation. After each session, the product gives you a written debrief, scores, and a set of observations the AI saved about how it went.

Incarnate is a practice tool. It is not therapy, not legal advice, not medical advice, not financial advice, and not a substitute for a human professional. The AI character isn't the real person. The debrief isn't a clinical assessment. Use your judgement.

We may add, change, or remove features at any time. We try not to break things people rely on, but the product is in active development — particularly during the alpha period.

Eligibility and your account

To use Incarnate you must:

  • Be at least 13 years old (16 in the EEA / UK) — Incarnate is not designed for children.
  • Be legally able to enter into a binding agreement in your jurisdiction.
  • Provide accurate sign-up information and keep it up to date.
  • Keep your account credentials confidential. You're responsible for anything that happens under your account.

If you create an account on behalf of an organisation, you confirm that you have authority to bind that organisation to these Terms.

Acceptable use

Incarnate is for rehearsing real-life conversations. You agree not to use it to:

  • Plan, encourage, or carry out anything illegal, violent, or harmful to another person.
  • Generate content that sexualises minors, incites self-harm, or promotes hate or harassment of a protected group.
  • Impersonate a specific identifiable real person in a way intended to defame them, defraud them, or harm their reputation.
  • Submit data you don't have the right to share — for example, confidential information belonging to a third party.
  • Reverse-engineer, decompile, scrape, or attempt to extract the source code of the product, except where applicable law explicitly permits it.
  • Use the service to develop a competing product, train a competing AI model, or benchmark for commercial purposes without our written permission.
  • Send the product malware, exploit its endpoints, perform automated load testing, or otherwise interfere with the operation of the service.
  • Circumvent rate limits, usage caps, or paid-feature gates.

We may suspend or terminate accounts that violate these rules. In serious cases we may also report illegal activity to law enforcement.

Your content and the licence you give us

You keep ownership of what you put into Incarnate — the persona descriptions you write, the scenarios you describe, the words you say during a session, and any notes you save. We call all of that "Your Content."

To actually deliver the product, you grant Incarnate Labs a worldwide, non-exclusive, royalty-free licence to host, store, process, transmit, transcribe, and display Your Content for the sole purpose of operating, improving, and securing the service for you. This licence ends when you delete Your Content or close your account, except where retention is required by law or already processed into aggregated, non-identifying analytics.

We do not use Your Content to train external AI models, sell it to third parties, or use it for advertising. See the Privacy Policy for the full handling rules.

AI-generated output

Most of what Incarnate shows you — the AI character's replies, the scores, the debrief, the suggested next lines — is generated by large language models. AI output:

  • Can be wrong, biased, or unintentionally offensive, even when the phrasing sounds confident.
  • Is not professional advice. Don't make medical, legal, financial, or safety decisions based on what the AI tells you.
  • May resemble (but is not) the real person you're practicing for — the AI doesn't actually know them.
  • May be similar across users in some situations. We don't guarantee uniqueness of generated text.

You're responsible for how you act on AI output. If something the AI says appears harmful, biased, or factually wrong, please report it through support@incarnatelabs.com so we can fix it.

Subscriptions, billing, and free tier

Incarnate offers a free tier and paid subscription tiers. During the alpha period some paid tiers may not be activated yet. When paid plans are available:

  • Subscriptions are billed in advance on the cadence shown at checkout (monthly or annual).
  • Prices and limits may change with notice. Existing subscribers get at least 30 days' notice of any price increase.
  • You can cancel from your account settings at any time. Cancellation takes effect at the end of your current billing period; we don't pro-rate refunds for partial periods unless required by law.
  • We may downgrade or pause access to paid features if a payment fails and isn't resolved.
  • Taxes, where applicable, are your responsibility.

Our intellectual property

Incarnate Labs (and our licensors) own the Incarnate product — the software, the design, the brand, the names "Incarnate" and "Aerin," the underlying AI orchestration, the prompts that drive the agents, and everything else that makes the product itself. Nothing in these Terms gives you any right to that intellectual property beyond the limited right to use the product as a customer.

Feedback you send us about the product (suggestions, bug reports, ideas) is given freely — we can use it without obligation to you, and you waive any claim to compensation for it.

Third-party services

Incarnate uses sub-processors — Amazon Web Services, Clerk, ElevenLabs, Anthropic, Google, OpenAI, Railway, PostHog — to deliver the product. Their services are covered by their own terms and privacy policies, and we're not responsible for outages or policy changes on their side. Suspension and termination

You can close your Incarnate account at any time from your account settings, or by emailing support@incarnatelabs.com.

We may suspend or terminate your account if you materially breach these Terms, if your use of the service threatens its safety or stability, or if we are legally required to do so. Where reasonably possible we will give you notice and a chance to fix the problem first.

On termination, your access to the product ends and we delete your personal data on the schedule described in the Privacy Policy. The sections of these Terms that by their nature should survive (IP, disclaimers, limitation of liability, indemnification, governing law) survive termination.

Disclaimer of warranties

Incarnate is provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties — express, implied, or statutory — including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted operation.

We don't warrant that AI output will be correct, appropriate for your situation, or free from biases — see the "AI-generated output" section above. We don't warrant that the service will be uninterrupted, error-free, or permanently available.

Some jurisdictions don't allow certain disclaimers, so parts of this section may not apply to you.

Limitation of liability

To the maximum extent permitted by law, Incarnate Labs and its officers, employees, and sub-processors will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages — including lost profits, lost data, business interruption, or harm caused by relying on AI output — arising out of or related to your use of the service, even if we've been advised of the possibility.

Our total aggregate liability to you for all claims relating to the service is capped at the greater of (a) the amount you paid us in the 12 months preceding the event giving rise to the claim, or (b) USD 100.

Nothing in these Terms limits liability that cannot legally be limited — for example, liability for fraud or for death or personal injury caused by negligence.

Indemnification

You agree to indemnify and hold Incarnate Labs harmless from any claim, loss, or expense (including reasonable lawyers' fees) arising out of (a) your misuse of the service, (b) your violation of these Terms, (c) Your Content infringing someone else's rights, or (d) your violation of applicable law. We'll let you know promptly about any claim and let you control the defence as long as you don't settle anything that imposes obligations on us without our written consent.

Governing law and disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or your use of Incarnate will be resolved in the state or federal courts located in Delaware, and you consent to personal jurisdiction there.

If you're a consumer in the EEA, UK, or another jurisdiction whose mandatory consumer-protection laws override this section, those laws apply to the extent required.

Changes to these Terms

We may update these Terms from time to time. If we make material changes — anything that meaningfully changes your rights or our obligations — we'll update the "Last updated" date and let you know in the product before the change takes effect. Continued use of Incarnate after a change means you accept the updated Terms.
